Passing on a Family Business – Tax & Legal Considerations

By Wendy Weir

Handing down a family business can be a rewarding way to preserve your legacy, but it also comes with important tax and legal implications. Whether you’re planning to retire, step back, or prepare for the unexpected, here are key factors to consider when transferring your business to the next generation.

1. Structuring the Transfer

One of the first decisions is how to structure the transfer. Common options include:

  • Outright Sale – Selling the business to family members at market value.
  • Gradual Transition – Transferring ownership over time while mentoring successors.
  • Gift or Bequest in a Will – Passing the business on as an inheritance.
  • Family Trusts – Holding business assets in trust to provide flexibility and protect against legal risks.

2. Capital Gains Tax (CGT) Considerations

The sale or transfer of a business can trigger Capital Gains Tax (CGT). However, small business owners may be eligible for CGT concessions, including:

  • 15 Year Exemption – If you’ve owned the business for at least 15 years and are retiring or over 55.
  • 50% Active Asset Reduction – Reducing the taxable capital gain by half.
  • Retirement Exemption – Exempting up to $500,000 of capital gains if you’re retiring.
  • Rollover Relief – Deferring CGT if you reinvest in another business.

3. Stamp Duty & Other Transfer Costs

Depending on your state, transferring business assets may attract stamp duty. Some states offer exemptions for family business transfers, so it’s essential to check with local revenue authorities.

4. Legal Agreements & Succession Planning

Having a clear succession plan helps ensure a smooth transition. Consider:

  • Buy/Sell Agreements – Outlining how ownership is transferred and funded.
  • Shareholder or Partnership Agreements – Clarifying roles, responsibilities, and dispute resolution processes.
  • Updating Wills & Estate Plans – Ensuring business ownership aligns with estate planning.

5. Superannuation & Retirement Planning

If you’re stepping away from the business, ensure you have a solid retirement strategy in place. This may include accessing superannuation, selling shares, or drawing an income from ongoing business operations.

Passing on a family business requires careful planning to minimise tax liabilities and legal complications. Seeking advice from an accountant, financial advisor and legal expert can help ensure a seamless transition while protecting your family’s financial future.
